Company Registration

We provide consultancy for registering sole proprietorship firm, partnership firm, private limited company, public limited company, branch office, liaison office and representative office in Bangladesh. The legislative framework of a company in Bangladesh is regulated by the Companies Act 1994 and Securities & Exchange Commission Act 1993 (In case of public Ltd. company). Registrar of Joint-stock Companies and Firms (RJSC) also known as the Company House of Bangladesh is the authority responsible for company related activities in Bangladesh. According to the Companies Act 1994, any person (local or foreign) above the age of 18 can register a company in Bangladesh. A business firm in any of the forms can be registered based on 100% local or foreign ownership or with the combination of local and foreign ownership. However, we provide company registration service to both our local and international established clients according to their requirement.

Our Responsibility

We take the following responsibilities in the process of registering a company in Bangladesh for our Bangladeshi and international established clients.

  1. Rent commercial space and complete all interior decoration as per the requirement of client to get the office ready for operation.
  2. Obtain name clearance from Registrar of Joint-stock Companies and Firms for proposed business name based on availability.
  3. Open a bank account in business name proposed by client and approved by the Registrar of Joint-stock Companies and Firms.
  4. Deposit fund equal to the shares into bank account and get encashment certificate from the bank based on the deposited fund.
  5. Submit Articles of Association, Memorandum of Association and other documents to Registrar of Joint-stock Companies and Firms.
  6. Pay necessary fees and get the certificate of incorporation issued by the Registrar of Joint-stock Companies and Firms.
  7. Obtain certificate of incorporation, form XII, certified copies of MoA and AoA, trade license, tax identification number, VAT Registration certificate and other necessary documents relevant to the business.
  8. After incorporation, ensure issuance of share certificates to shareholders as per the capital clause of Memorandum of Association.
  9. Enlist incorporated company on Bangladesh Securities and Exchange Commission so that the company can start trading shares on the Dhaka Stock Exchange.

Charges & Terms

Our service charges and terms for registering a business depends on the type of the company to be registered. The following charges and terms are applicable when we register a company of any type all over Bangladesh for our local and international established clients.

Proprietorship Firm

  • One Time Service Charge: USD 500 or equivalent amount in other accepted currencies for local client only. This is our consultancy fee only for the tasks mentioned in point number 01 and point number 07 under “Our Responsibility” section above.
  • Other Necessary Charge: Clients shall have to pay all registration fee, stationary bill, premise rent and interior decoration bill separately. Clients shall be provided with money receipts for every payment we shall make to any 3rd party.
  • Payment Method: Credit Card, Debit Card, Western Union and bKash are accepted for this service. All registration fee, stationary bill, premise rent and interior decoration bill should be paid by bank wire transfer or BEFTN or check.
  • Required Information From Client: Preferred business name, office location details or address, office space size, interior decoration details, expected hand over time of registered business certificates and well decorated office ready for business operation.
  • Required Document From Client: Copy of photo ID card like national ID card, 20 copies passport size photograph and letter of authorization.

Private Ltd. Company

  • One Time Service Charge: USD 1000 for local client and USD 1175 for international client or equivalent amount in other accepted currencies. This is our consultancy fee only for the tasks mentioned from point number 01 to 08 under “Our Responsibility” section above.
  • Other Necessary Charge: Clients shall have to pay all registration fee, stationary bill, premise rent and interior decoration bill separately. Clients shall be provided with money receipts for every payment we shall make to any 3rd party.
  • Payment Method: Credit Card, Debit Card, Western Union and bKash are accepted for this service. All registration fee, stationary bill, premise rent and interior decoration bill should be paid by bank wire transfer or BEFTN or check.

Public Ltd. Company

  • One Time Service Charge: USD 1175 for local client and USD 1475 for international client or equivalent amount in other accepted currencies. This is our consultancy fee only for the tasks mentioned from point number 01 to 09 under “Our Responsibility” section above.
  • Other Necessary Charge: Clients shall have to pay all registration fee, stationary bill, premise rent and interior decoration bill separately. Clients shall be provided with money receipts for every payment we shall make to any 3rd party.
  • Payment Method: Credit Card, Debit Card, Western Union and bKash are accepted for this service. All registration fee, stationary bill, premise rent and interior decoration bill should be paid by bank wire transfer or BEFTN or check.

Procedure

In order to avail our service for registering a company in Bangladesh, clients shall contact us with their requirements at least 2 months back. If we agree to undertake the assignment, clients pay our service charge after which we take necessary initiative to register a company in Bangladesh within the delivery lead time.

Deliverables

Certificate of incorporation, form XII, certified copies of Articles of Association, Memorandum of Association, trade license, tax identification number, VAT Registration certificate, other necessary documents relevant to the business and a well furnished office ready for business operation.
